The M&A market is increasingly demanding and complex. It is imperative that you have a clear understanding of how to structure and negotiate a deal that meets your client’s business goals.

Learn how to execute the deal on time and manage risks.

Celebrating its 10th anniversary, this two-day, intensive boot camp from Osgoode Professional Development is designed to teach legal professionals and advisors how to run an M&A transaction from its inception through to closing.

Using a hypothetical corporate acquisition and blending learning, the program features demonstrations, negotiations and engaging, practical discussions with leading practitioners.

If you’re a legal or business professional involved in transactions, or practice in another area, you will benefit from nationally and internationally recognized speakers examining the latest deal trends, structures, pitfalls and opportunities in mergers and acquisitions. You’ll come away from the program with a comprehensive understanding of the key principles and techniques you need to know in order to anticipate and confidently deal with issues that may arise in a negotiated transaction.

You’ll gain important insights and key strategies required for success in mergers and acquisitions, including:

  • Gathering the information you need and keeping clients informed
  • Understanding the ethical and professional issues that may arise in negotiating the deal
  • Mitigating risks through appropriate due diligence and use of technology
  • Choosing the right structure for the transaction
  • The impact of asset versus share transactions on labour, employment, pension and benefits issues
  • Negotiating representations, warranties, covenants and conditions and indemnities
  • Investment Canada/competition/antitrust issues in M&A transactions
  • Managing risk in international transactions
  • Managing corporate governance issues in mergers and acquisitions
  • Trends and highlights from recent deals
  • Identifying and mitigating privacy risks
  • Handling closing issues and post-closing logistics and disputes

Plus! Don’t miss the invaluable opportunity to network with leading M&A lawyers and receive practical templates and resources for future reference.
