Secured lending and debt finance transactions have become increasingly complex. Get up to speed quickly with our faculty of experienced lawyers and bankers in a practical, intensive course.

This intensive OsgoodePD course will provide you with a comprehensive understanding of loan transactions. Go step-by-step through the essential legal components of a financing transaction, with a focus on the strategic and tactical concerns from each of the borrower’s and the lender’s perspective.

This program will cover:

  • A thorough overview of Canadian debt financing, including an examination of products currently offered and how they reflect the current business climate
  • Working with the commitment letter and term sheet
  • Negotiating and drafting loan documentation from a lender’s or borrower’s perspectives
  • Which clauses of loan agreements are most important and why
  • The objectives and requirements of appropriate due diligence
  • Negotiating intercreditor arrangements and structuring priorities between lenders
  • Strategic and tactical concerns in taking, perfecting and enforcing security
  • What every counsel has to know about the ISDA Master Agreement and Schedule

Join us for the Advanced Workshop: Ethical and Professional Issues in Secured Lending and Debt Finance to gain valuable insights from senior secured lending lawyers and explore a number of realistic scenarios in a commercial loan transaction.
